Indemnification

There seems to be a disconnect between the persons entitled to indemnification (currently defined as officers, directors and members) and the responsibilities assigned to PMC members. My understanding is that non-members can be part of a PMC. If so, then in case of a suit the non-members are not covered by the insurance established in Section 12.6, unless they can be considered "agents of the corporation"?
